Welcome to Take This Forward (the "Service" or "App"), an application owned and operated by Idea Labz for Computer Systems & Communication Equipment Software Design (hereinafter referred to as "Idea Labz", "we", "us", or "our").
These Terms of Service ("Terms") govern your access to and use of our pre-launch waitlist and any related services, including early access to the Take This Forward Service during its pre-launch phase.
By joining our waitlist, applying for, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with these Terms, you must not access or use the Service.
Introduction
Purpose
These Terms outline your rights and responsibilities when participating in the Take This Forward pre-launch waitlist program and using any early, pre-release versions of our Service. The aim of the pre-launch phase is to gather feedback and improve the Service.
Acceptance
Your participation in the waitlist or use of the Service constitutes your unconditional acceptance of these Terms. If you do not agree to these Terms, do not join the waitlist or use the Service. These Terms form a legally binding agreement between you and Idea Labz.
Nature of Pre-release Service
You acknowledge that the Service is a pre-release, beta version. This means it is still under active development, may be incomplete, contain bugs, errors, or inaccuracies, and is subject to significant change without notice. Features and functionality may be added, modified, or removed at our sole discretion. The Service may not be as reliable as a fully released product.
Waitlist and Access
Joining the Waitlist
You may express interest in the Service by joining the waitlist through our official website or other designated channels, providing accurate and complete information as requested.
Granting of Access
Joining the waitlist does not guarantee access to the Service. Access will be granted at our sole discretion, potentially on a rolling basis, based on criteria determined by us (Idea Labz). We are under no obligation to provide access to everyone on the waitlist or to provide a timeline for access.
Communication
We may contact you via the email address provided during waitlist registration with updates regarding your waitlist status, invitations to access the Service, and other relevant information concerning the pre-launch phase of the Take This Forward App.
Service Description (Pre-launch Phase)
Purpose of Access
Access to the Service during the pre-launch phase is granted primarily for evaluation, testing, and providing feedback to help us refine and improve the Take This Forward App. Your insights are valuable to us.
Service Stability and Availability
You understand and agree that the Service may experience interruptions, downtime, bugs, or errors. We do not guarantee continuous uptime, reliability, or data persistence during this phase for the Service.
Any data you input, content you create, or workflows you establish within the Service may be permanently lost or become inaccessible without notice. You are advised to back up any critical information.
Modifications and Suspension
We (Idea Labz) reserve the right to modify, suspend, or discontinue access to the Service, or any part thereof, including any features or functionalities, at any time with or without prior notice, for any reason or no reason.
User Obligations
Accurate Information
You agree to provide true, accurate, current, and complete information when joining the waitlist and using the Service. You agree to update this information promptly if it changes.
Lawful Use
You agree to use the Service in compliance with all applicable local, national, and international laws and regulations, and not for any unlawful, fraudulent, or prohibited purpose. You will not use the Service to infringe upon the rights of others.
Feedback
You may be invited or may voluntarily choose to provide suggestions, comments, ideas, improvements, or other feedback ("Feedback") regarding the Service. You agree that Idea Labz is free to use, disclose, reproduce, license, or otherwise distribute and exploit any Feedback provided by you for any purpose, without any obligation, restriction, or compensation to you.
You grant Idea Labz a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sublicensable right to use such Feedback.
Prohibited Activities
You agree not to:
- Decompile, reverse engineer, disassemble, or otherwise attempt to derive the source code of the Service
- Use the Service to develop a competitive product or service
- Interfere with, disrupt, or create an undue burden on the Service or the networks or services connected to the Service
- Use any automated system, including without limitation "robots," "spiders," or "offline readers," to access the Service in a manner that sends more request messages to our (Idea Labz's) servers than a human can reasonably produce in the same period by using a conventional on-line web browser
- Attempt to gain unauthorized access to the Service or its related systems or networks
Data Ownership and Privacy
User Data
As stated in our FAQ and further affirmed here, you retain ownership of the data, information, and content that you create, upload, or process using the Take This Forward Service ("User Data"). Idea Labz does not claim ownership over your User Data.
Privacy
Your use of the Service is also subject to our Privacy Policy, available at /privacy-policy, which details how we (Idea Labz) collect, use, store, and protect your personal information and User Data. By using the Service, you consent to the data practices described in the Privacy Policy.
During the pre-launch phase, data collected, including usage data, may be used more extensively by Idea Labz to monitor performance, identify issues, and improve the Service.
Data Security
While Idea Labz implements industry-standard security measures to protect User Data, we cannot guarantee absolute security, especially for a pre-release Service. You acknowledge that providing User Data during the pre-launch phase is at your own risk.
Intellectual Property
TTF Ownership
Idea Labz and its licensors retain all right, title, and interest in and to the Take This Forward Service, including but not limited to its software, design, user interface, features, documentation, trademarks, trade names, service marks (including "Take This Forward" and trademarks associated with Idea Labz), and all related intellectual property rights.
These Terms do not grant you any rights to our intellectual property except for the limited license specified below.
Limited License
Subject to your compliance with these Terms, Idea Labz grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely for your internal evaluation and feedback purposes during the pre-launch phase. This license is personal to you and may be revoked by us at any time.
Disclaimers
"AS IS" and "AS AVAILABLE"
THE SERVICE IS PROVIDED BY IDEA LABZ "AS IS" AND "AS AVAILABLE," WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY. This includes but is not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, title, quiet enjoyment, and any warranties arising out of course of dealing or usage of trade.
Idea Labz makes no warranty that the Service will meet your requirements.
No Guarantee of Performance
IDEA LABZ DOES NOT GUARANTEE OR WARRANT THAT THE SERVICE WILL BE ERROR-FREE, ACCURATE, RELIABLE, UNINTERRUPTED, SECURE, OR THAT DEFECTS WILL BE CORRECTED. You acknowledge that your use of the pre-launch Service is at your sole risk.
Limitation of Liability
Exclusion of Damages
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL IDEA LABZ, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES (whether incurred directly or indirectly), or any loss of data, use, goodwill, or other intangible losses, resulting from:
- Your access to, use of, or inability to access or use the Service
- Any conduct or content of any third party on or obtained through the Service
- Any content or data obtained from the Service
- Unauthorized access, use, or alteration of your transmissions or content
- Any bugs, viruses, trojan horses, or the like that may be transmitted to or through our Service by any third party
This applies even if Idea Labz has been advised of the possibility of such damages.
Cap on Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IDEA LABZ'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE (whether in contract, tort, negligence, statute, or otherwise) shall not exceed ten U.S. dollars ($10.00) or the minimum amount permitted by law if greater.
Changes to Terms or Service
Right to Modify Terms
Idea Labz reserves the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, which will be determined at our sole discretion, we will make reasonable efforts to provide at least 15 days notice prior to any new terms taking effect, for example by posting a notice on our website or sending an email to the address associated with your waitlist registration.
Your continued use of the Service after the effective date of such changes will constitute your acceptance of the new Terms.
Changes to Service
Idea Labz reserves the right to modify, update, or discontinue the Service (or any part or feature thereof) at any time, with or without notice, and without liability to you.
Termination
By Idea Labz
We (Idea Labz) may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including, without limitation, if you breach these Terms or if we decide to discontinue the pre-launch program or the Service.
By User
You may discontinue your use of the Service and request removal from the waitlist at any time by contacting us or following any provided instructions.
Effect of Termination
Upon termination, your right to use the Service will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, feedback clauses, and limitations of liability.
Governing Law
Jurisdiction
These Terms shall be governed and construed in accordance with the laws of Dubai, United Arab Emirates, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located in Dubai, United Arab Emirates to resolve any legal matter arising from the Terms.
